TORONTO, May 21, 2019 /CNW/ - VersaPay Corporation (TSXV: VPY) ("VersaPay"), a leading provider of cloud-based invoice-to-cash solutions including electronic invoice presentment and payment, automated accounts receivable, cash application and collections management, is pleased to announce that all resolutions proposed to shareholders at the annual and special meeting held on May 21st, 2019 were duly passed.

All the nominees, which included Arthur Mesher, Craig O'Neill, Mark Kohler, Sheldon Pollack, Brandon Nussey and David Dobson, were re-elected as directors of the Company. 

Shareholders also voted in favour of the other resolutions put before the meeting, including:

(i) 

The reappointment  of KPMG LLP as the Company's auditors for the ensuing year, and the directors were authorized to fix their remuneration;

(ii)    

The replenishment of the number of common shares available for issuance upon the exercise of options issued under the Company's stock option plan; and

(iii)  

Approval of a restricted share unit plan, in which 5,000,000 common shares of the Company, less any common shares reserved for issuance under other share based compensation plans of the Company, are reserved for issuance to directors, officers, employees and other service providers of the Company.
